Terms of Service

These Terms of Service (“Terms”) constitute a binding agreement between you (the brand operator) and Kapis AI Tech Private Limited (CIN: U62011MH2026PTC471327), a company incorporated under the Indian Companies Act 2013, having its registered office at Flat No. 601, Floor 6, Yasmin Heritage, Vile Parle (West), Mumbai – 400 056, Maharashtra, India (“Kapis”, “we”, “us”, “our”).

By creating an account, redeeming an invite, or using the Kapis platform, you agree to these Terms. If you are using Kapis on behalf of a brand or company, you represent that you have authority to bind that entity. If you don’t agree to these Terms, please do not use the service.

Kapis provides the Brand Brain platform · a system for codifying a brand’s identity, voice, and constraints into a machine-readable format that downstream AI tools, agencies, and teams consume. The service includes the API, the web product, the adapter exports, and the audit + reporting surfaces.

• One human, one account. You are responsible for activity under your account, including teammates you invite.
• Keep your sign-in credentials confidential. Notify us immediately of any suspected unauthorised use.
• You must be at least 18 years old (in India) or the age of legal majority in your jurisdiction.

• Your brand data is yours. You retain all rights to the brand content you upload (decks, assets) and to the Brand Brain artefacts we generate from it.
• You grant Kapis a limited license to host, process, and display your brand data solely to deliver the service to you. We do not use your brand data to train any model outside your account without explicit written consent.
• Kapis owns the platform. The KBIF methodology, the platform code, the adapter integrations, the audit pipelines, and the Brand Brain schema are Kapis’s intellectual property.
• You confirm you have rights to upload any brand content you provide. You will not upload content that infringes third-party IP.

• Prices are denominated in USD and invoiced in USD. Local-currency amounts shown on the pricing page are indicative · final amount may vary slightly based on bank FX rates and processor margins.
• Subscriptions auto-renew at the end of each billing period. You can cancel at any time from your account settings; the cancellation takes effect at the end of the current period.
• We may change prices for a future renewal · we will notify you at least 30 days before the change takes effect.
• Refunds are pro-rated at our discretion. We do not refund usage already consumed.

You will not use Kapis to:

• build brands for illegal goods or services;
• generate content that is deceptive, defamatory, or violates applicable advertising standards (including ASCI in India);
• impersonate another brand or person, or upload data you are not authorised to share;
• attempt to reverse-engineer the platform, scrape it at scale, or circumvent rate limits;
• attempt to extract another customer’s brand data through any interface, intentional or accidental.

The Brand Brain and downstream adapter outputs are generated partly by large language models. They are useful starting points, not finished work product. You are responsible for reviewing outputs before publication, especially for regulatory claims (drug, financial, medical, food). Trust Layer scoring helps you flag claims that need verbatim sourcing · use it.

• You may delete your account at any time. We will retain data per our Privacy Policy.
• We may suspend or terminate accounts that violate these Terms, with notice where practicable. Material violations (fraud, ToS-breaching content, security abuse) may be terminated without prior notice.

The service is provided “as is”. To the maximum extent permitted by law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). We do not warrant the accuracy of AI-generated outputs · see § 7.

To the maximum extent permitted by law, our aggregate liability to you for any claim arising out of these Terms is limited to the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or special damages.

We may update these Terms. Material changes will be announced via email to registered accounts at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance.

The kbie platform integrates with third-party services including Google APIs (Analytics, Search Console, and future Phase 2 scopes) and Meta Platform APIs (Facebook Pages, Instagram, Ads, Business Management). When you connect a third-party service to kbie:

• You authorize Kapis to access only the OAuth scopes you explicitly grant at the time of connection.
• You may revoke access at any time from the third-party platform’s account settings (Google Account → Permissions; Meta Business Manager → Integrations).
• We comply with the third-party platform’s data-use policies, including the Google API Services User Data Policy and the Meta Platform Terms and Meta Developer Policies.
• We do not sell, share, or use third-party platform data outside the features you have explicitly enabled.
• For features that publish content to third-party platforms on your behalf (e.g., publishing posts to your Facebook Page or Instagram Business Account), all content is presented to you for explicit review and approval before any post is made to the third-party platform. kbie does not auto-publish content.
• For features that read advertising data (Meta Ads), we use that data only to operate the compliance audit and brand analytics you have enabled, and never to spend ad budget, modify targeting, or run new campaigns without your explicit in-product confirmation.

We act as a Tech Provider under Meta Platform Terms when processing Meta Platform data on your behalf.

These Terms are governed by the laws of India. Disputes shall be submitted to the exclusive jurisdiction of the courts in Mumbai, Maharashtra. Nothing in this section limits any non-waivable consumer rights you may have under your local law.
